Who we are
These Terms & Conditions (“Terms”) govern your access to and use of the JP Warehousing website, customer portal(s), and any services we provide, including warehousing, drayage, cross-docking/transloading, order fulfillment, FBA prep, inventory management, and transportation coordination (collectively, the “Services”).

If you use our website or submit a request for quote, you agree to these Terms. If you enter into a separate signed Service Agreement, Statement of Work (SOW), Rate Sheet, or Warehouse Receipt with us, those documents control to the extent they conflict with these Terms.
Changes to these Terms
We may update these Terms at any time by posting a revised version on this page with the “Last updated” date changed. Your continued use of the website or Services after changes become effective constitutes acceptance of the revised Terms.
Website use

Eligibility & conduct. You agree to use the site lawfully and not to disrupt, damage, or interfere with it.

Content. Site content is provided “as is” for general information and marketing purposes; it may change without notice.

Intellectual property. All site content (logos, text, graphics, photos, videos) is owned by or licensed to JP Warehousing and is protected by IP laws. You may not copy, distribute, or create derivative works without our written consent.

Links. Links to third-party sites are provided for convenience; we do not endorse and are not responsible for their content or practices.

Privacy. Your use of the site is also subject to our Privacy Policy.
Quotes, onboarding & accounts

Quotes are estimates. Pricing, capacity, and timelines are estimates until confirmed in a written Rate Sheet, SOW, or Warehouse Receipt.

Account setup. You must provide accurate company info, billing contacts, tax status, and any required system/EDI/WMS credentials. You’re responsible for safeguarding portal logins and API keys.

Credit terms. Any credit terms (e.g., Net 15/30) require approval. Absent a written credit approval, Services may be prepaid or COD.
Inbound requirements (receiving)
To ensure safe and efficient receiving, you agree to:

Provide advance shipment notices (ASNs), BOLs, packing lists, and SKU/lot/serial details as applicable.

Ensure pallets/containers meet safety and labeling standards; declare any hazmat, oversized, temperature-controlled, or high-value goods in writing before tender.

Follow appointment windows and carrier check-in procedures.
We may refuse or rework non-conforming inbound shipments at your expense.
Storage, care & inventory

Standard of care. As a warehouseman, we will exercise reasonable care in storing and handling goods.

Insurance. Unless expressly agreed in writing, we do not insure your goods. You are responsible for maintaining adequate cargo/property insurance for goods in storage or transit.

Inventory records. Our WMS/portal records are the system of record for receipts, moves, and shipments. You must review reports and promptly notify us of discrepancies.

Cycle counts & shrinkage. Normal handling variances can occur due to vendor packaging, count methods, or carrier errors. If a shrinkage allowance or count policy is defined in your SOW/Rate Sheet, it controls; otherwise, we will investigate discrepancies reported within a reasonable period following discovery.

Abandoned goods & lien. We have a warehouseman’s lien under applicable law for charges related to the goods. If your account is past due or you fail to arrange disposition, we may, after required notices, sell or dispose of goods to satisfy amounts owed.
Outbound (pick/pack/ship) & service levels

Orders & cut-offs. We will publish receiving and order cut-off times. Orders received after cut-off may ship next business day.

Carrier selection. You may use your carrier account or ours; carrier performance, surcharges, and service failures are outside our control.

Compliance. Retail/E-com routing guides, carton/pallet labels, ASN/EDI events, and packaging specs must be provided in writing and approved before launch. Rework due to missing/incorrect specs may be billed.
Prohibited or restricted goods

You may not tender goods that are illegal, counterfeit, explosive, radioactive, perishable without prior agreement, or otherwise restricted by law or by our facility policies. Hazardous materials, high-value items, or temperature-controlled goods require our prior written approval.
Rates, billing & payment

Charges. You agree to pay all published or agreed charges, including but not limited to receiving, storage, handling, pick/pack, materials, rework, labor, system/EDI fees, freight, fuel, accessorials, and any third-party pass-throughs.

Invoices & disputes. Invoices are deemed accepted unless disputed in writing within 10 calendar days of the invoice date with reasonable detail.

Payment terms. As set forth in your approved credit terms or SOW. Late amounts may accrue a service charge at the lesser of 1.5% per month or the maximum permitted by law, plus collection costs and reasonable attorneys’ fees.

Taxes. You are responsible for all applicable taxes, duties, and governmental fees.
Claims & limitations

Loss or damage claims. You must notify us in writing of any claim related to storage or handling within 5 business days after discovery and in all cases within the shorter of (a) the statutory period under applicable warehouse law or (b) 60 days from the event, with supporting documentation.

Cap on liability. To the fullest extent permitted by law, our total liability for any claim relating to the Services or goods in our care is limited to the lesser of: (i) your actual, documented direct loss, (ii) the replacement value of the affected goods, or (iii) the total fees you paid to us for the Services giving rise to the claim during the 3 months preceding the event. We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, or business interruption.

Exclusions. We are not liable for losses caused by: inherent defect of goods, concealed damage, improper packing by others, act/omission of you or your vendors/carriers, pests, ordinary wear/tear, or events listed in Force Majeure.
EDI, data & confidentiality

Data sharing. We may exchange operational data (orders, shipments, inventory, EDI 940/945/856, etc.) with you and your systems/providers. You grant us the right to use and process such data to perform the Services.

Confidentiality. Each party will protect the other’s non-public information with at least reasonable care and use it only for performing the Services.

Security. No system is 100% secure. We implement reasonable administrative, technical, and physical safeguards appropriate to our operations.
Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including acts of God, extreme weather, labor disputes, epidemics, utility failures, carrier/port disruptions, governmental actions, war, civil unrest, or supply-chain interruptions. Performance deadlines will be extended for the duration of such events.
Indemnification

You agree to indemnify, defend, and hold harmless JP Warehousing and its officers, directors, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms or your SOW/Rate Sheet; (b) your goods (including IP, labeling, safety, compliance, and product liability); and (c) instructions you provide regarding storage, handling, or shipment.
Termination & suspension

We may suspend or terminate Services or site access immediately for cause (e.g., nonpayment, safety issues, prohibited goods) or upon reasonable notice for convenience where permitted by your SOW. You remain responsible for all charges incurred and for promptly removing goods at termination.
Governing law; venue

These Terms are governed by the laws of the State of California, without regard to its conflicts rules. Exclusive venue and jurisdiction lie in the state or federal courts located in San Bernardino County, California.
Severability; no waiver

If any provision is found invalid or unenforceable, the remainder will remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later.
Entire agreement

These Terms, together with any applicable signed Service Agreement, SOW, Rate Sheet, Warehouse Receipt, and published policies, constitute the entire agreement regarding website use and general Services and supersede prior understandings on these subjects.
